Terms of Service & Master Subscription Agreement

01Commercial Subscription & License Grant

BJG Technologies Pvt. Ltd. grants the subscriber a non-exclusive, non-transferable, revocable commercial software license to deploy Bill2Tally.ai for the purpose of automating vendor bill ingestion, inventory item reconciliation, sales voucher generation, and double-entry synchronization with authorized installations of Tally Prime.

02Dual-Tier Accounting Verification & User Responsibility

While Bill2Tally.ai provides advanced multimodal OCR, automated GST tax rule matching, and double-entry balance validation (enforcing Total Debit == Total Credit), accounting remains a professional discipline requiring statutory oversight.

The subscribing business and its certified accountants (Chartered Accountants, Tax Practitioners, or In-House Billing Managers) remain exclusively responsible for verifying generated vouchers prior to final statutory tax filing (GSTR-1, GSTR-3B, and Income Tax returns).

03Proprietary Rights & Intellectual Property

All software codebases, deterministic parsing algorithms, dual-tier inventory normalization routines (Title Case item mapping with ALL CAPS descriptions), UI components, and TDL/XML transmission protocols are the intellectual property of BJG TECHNOLOGIES PVT. LTD. Reverse engineering, unauthorized decompilation, or redistribution of desktop binaries is strictly prohibited.

04Service Availability & Disaster Recovery SLA

The cloud infrastructure of Bill2Tally.ai operates on global Anycast edge networks backed by 99.9% uptime target SLAs. Scheduled maintenance is executed during low-traffic windows with advance advisory notifications. Local desktop agent synchronization requires an active local network route to Tally Prime.

05Governing Law & Dispute Resolution

These Terms shall be interpreted and enforced in accordance with the substantive laws of the Republic of India. Any controversy, claim, or dispute arising out of or relating to this agreement shall be submitted to the exclusive jurisdiction of the competent civil courts situated in Pune, Maharashtra, India.
